Coca-Cola HBC AG, together with its subsidiary Coca-Cola HBC Holdings B.V., has become the majority shareholder of Coca-Cola Sabco Mozambique, SA, the Competition Regulatory Authority (ARC) announced ton Monday. “Coca-Cola HBC AG, together with its subsidiary Coca-Cola HBC Holdings B.V., will hold control of Coca-Cola Beverages Africa Proprietary Limited through the acquisition of 75% of its share capital” — an operation with automatic impact on the shareholding structure of Coca-Cola Mozambique — the ARC said in a statement. “Coca-Cola Sabco Mozambique, SA, which owns bottling plants for non-alcoholic ready-to-drink beverages in the provinces of Maputo, Manica and Nampula, now has a new majority shareholder as a result of the concentration operation notified to this Authority on 5 December 2025,” the ARC note states.
READ:Coca-Cola HBC buys control of Africa bottling business for $2.6 billion in expansion drive The ARC adopted a Decision of Non-Opposition to the completion of the transaction, since the acquiring entities do not operate in the national territory, nor do they hold interests in Mozambican companies. As such, the transaction does not result in any horizontal overlap liable to cause price increases, reduction of supply, or limitation of options available in the market, to the detriment of competition and consumers, the regulator emphasised. “According to the ARC’s assessment, the transaction in question is of a horizontal nature and constitutes an Acquisition of Sole Control, as provided for in Section II of the Regulation on Notification Forms for Business Concentration Operations (RFNOCE).”
